2. Professional Use
By purchasing from us, you acknowledge that:
products are intended primarily for professional or commercial use unless stated otherwise;
proper use may require training, professional judgment, maintenance, and compliance with local laws or licensing requirements;
you are responsible for ensuring that the products are lawful to import, possess, market, and operate in your jurisdiction;
you are responsible for ensuring that only qualified or properly trained persons use the equipment where applicable.
3. No Guaranteed Outcomes
Unless expressly stated in a signed written agreement, Vora Holding LLC does not guarantee:
specific clinical outcomes;
treatment results;
business growth;
profitability;
revenue performance;
return on investment;
suitability for a particular regulatory environment or business model.
Any references on the website or in marketing materials to workflows, outcomes, safety, consistency, performance, or business benefits are general statements only and do not constitute a guarantee.
4. Quotes, Orders, and Acceptance
All quotations, product information, website descriptions, and communications are provided for general informational and commercial purposes and do not constitute a binding offer until accepted by us.
An order is not binding until:
we confirm acceptance in writing or issue an invoice accepted for processing;
payment arrangements are approved;
any required verification or compliance review is completed.
We reserve the right to reject, delay, limit, or cancel any order at our discretion, including where fraud, verification, product availability, legal, compliance, or pricing concerns arise.
5. Pricing and Taxes
All pricing is subject to change prior to order acceptance.
Prices may not include shipping, customs, duties, taxes, installation, training, insurance, bank charges, or third-party fees unless expressly stated in writing.
The customer is responsible for all applicable taxes, duties, import costs, and related charges unless otherwise agreed in writing.
6. Payment Terms
Payment terms are as stated in the applicable quotation, invoice, or written agreement.
We may accept approved payment methods including:
wire transfer;
mail order/telephone order (MOTO) transactions;
All payments are subject to verification, review, and acceptance. We reserve the right to request additional information before processing or fulfilling any order.
7. MOTO and Card-Not-Present Payments
Where payment is made by telephone, email, remote invoice, WhatsApp, or other card-not-present methods, the customer confirms that:
they are the authorized cardholder or authorized payer;
they authorize the transaction for the agreed amount;
the billing, contact, and order information provided is accurate;
the transaction may be subject to identity, business, or payment verification before fulfillment.
Vora Holding LLC reserves the right to delay, refuse, cancel, or refund any card-not-present transaction where fraud, unauthorized use, mismatch of information, compliance concerns, or elevated transaction risk is identified.
We may retain transaction-related documentation, including invoices, order records, communications, proof of authorization, and delivery records, for fraud prevention and dispute management purposes.
8. Verification and Fraud Prevention
To protect customers, our business, and our payment partners, we may conduct reasonable verification checks, including:
confirmation of customer identity;
confirmation of business information;
review of billing and shipping details;
review of transaction legitimacy and order consistency;
requests for supporting documentation where justified.
Failure to provide requested verification may result in order cancellation or refusal of service.
9. Shipping and Delivery
Delivery timeframes are estimates only unless expressly guaranteed in writing.
We are not responsible for delay or failure caused by:
stock shortages;
customs processing;
shipping carrier disruption;
customer unavailability;
inaccurate shipping information;
force majeure events;
events beyond our reasonable control.
Risk of loss may pass upon delivery to the customer, customer representative, or designated carrier, unless otherwise agreed in writing. Title shall remain with Vora Holding LLC until full cleared payment is received, to the extent permitted by law.
The customer must inspect goods promptly upon receipt and report any visible shipping damage, shortages, or material delivery discrepancies without undue delay.
10. Returns and Refunds
Due to the specialized and professional-use nature of many products, returns and refunds are limited.
Returns or refunds may be considered only where:
approved by us in writing;
required by applicable law;
payment was made in error;
the order cannot be fulfilled by us;
the item is eligible, unused where required, and returned in acceptable condition if return is authorized.
The following are generally non-refundable or non-returnable unless required by law or agreed in writing:
used, installed, activated, altered, or damaged items;
special-order or custom-configured products;
software, licenses, digital activations, or downloadable materials;
consumables or hygiene-sensitive items;
completed training, consulting, installation, logistics, or support services;
non-recoverable shipping, customs, banking, or third-party processing costs.
Refunds are not available solely because a customer changes business plans, fails to obtain expected commercial performance, does not complete implementation, or decides not to proceed after committed procurement costs have been incurred.
11. Warranty Disclaimer
Any warranty applicable to a product is limited to the express written warranty provided with the product, quotation, invoice, or separate written agreement, if any.
To the maximum extent permitted by law:
products are supplied on an “as is” and “as available” basis except as expressly stated in writing;
we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement;
warranty claims may be denied where damage or malfunction results from misuse, unauthorized modification, improper installation, inadequate maintenance, environmental conditions, or operation outside intended use.
12. Customer Responsibilities
The customer is solely responsible for:
ensuring lawful purchase, importation, and use of products;
site readiness, utilities, staffing, and operational setup;
safe use, staff training, and compliance with applicable health, safety, consumer protection, advertising, and professional standards;
obtaining and maintaining any required licenses, registrations, consents, or approvals;
proper maintenance, calibration, and servicing unless otherwise agreed in writing.
13. Chargebacks and Disputes
If you believe there is a billing, product, or service issue, you agree to contact Vora Holding LLC first to seek resolution before initiating a chargeback or formal payment dispute.
We maintain business records, including quotations, invoices, communications, verification records, and delivery documentation, and may use those records to respond to disputes or chargebacks.
Improper or bad-faith chargebacks may be contested fully, and we reserve the right to seek recovery of amounts owed and any lawful associated costs.
14. Limitation of Liability
To the maximum extent permitted by law, Vora Holding LLC shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, business interruption, reputational harm, lost revenue, treatment-related claims, lost data, or anticipated savings.
Our total aggregate liability arising from or related to any transaction, product, service, or these Terms shall not exceed the amount actually paid to us for the specific product or service giving rise to the claim.
15. Indemnification
You agree to indemnify and hold harmless Vora Holding LLC, its affiliates, officers, members, employees, contractors, and agents from claims, losses, liabilities, damages, costs, and expenses arising out of:
misuse of products;
unlawful operation or marketing;
breach of these Terms;
customer negligence;
violation of applicable law or third-party rights.
16. Intellectual Property
All website content, branding, text, graphics, product descriptions, layouts, materials, and business content used by Vora Holding LLC are owned by or licensed to us unless otherwise stated. No content may be copied, reproduced, distributed, or used without prior written permission, except as permitted by law.
17. Website Use
You agree not to misuse the website, submit false information, interfere with website security, introduce malicious code, or use the website for unlawful or unauthorized purposes.
We reserve the right to limit or suspend access to the website at any time where necessary for security, maintenance, business, or compliance reasons.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, unless otherwise required by applicable law.
Any dispute arising out of or relating to these Terms, our website, or any transaction with Vora Holding LLC shall be subject to the competent courts of the applicable jurisdiction determined by law or contract.
19. Changes to These Terms
We may revise these Terms from time to time by posting an updated version on our website. Continued use of the website or continued dealings with us after such update constitutes acceptance of the revised Terms.
Terms and Conditions for Equipment Rental
1. Rental approval
All rental requests are subject to review and approval by Vora Holding LLC. The company reserves the right to request identification, business registration details, billing information, address verification, and any other supporting documents required to confirm the renter’s identity and eligibility.
2. Business-use rentals only
Rental equipment is supplied for professional business use only. By placing an order, the customer confirms that the equipment will be used within a clinic, salon, spa, medispa, beauty center, or similar professional setting and in accordance with all applicable laws, regulations, and industry standards.
3. Ownership of equipment
All rented equipment remains the sole property of Vora Holding LLC at all times unless otherwise agreed in writing. Payment of rental fees does not transfer ownership or create any ownership rights in favor of the customer.
4. Rental term
The rental period begins on the agreed start date and continues for the agreed duration stated in the order confirmation, invoice, or rental agreement. Any extension of the rental period must be approved in writing by Vora Holding LLC and may be subject to revised charges.
5. Rental fees and charges
The customer agrees to pay all applicable rental fees, deposits, delivery charges, installation charges, collection fees, late fees, and any additional agreed service fees. All payments must be made in full in accordance with the payment terms stated at the time of booking.
6. Accepted payment methods
Vora Holding LLC accepts payment by bank transfer and MOTO payment only. The company reserves the right to decline any transaction where payment authorization, customer identity, billing details, or transaction legitimacy cannot be satisfactorily verified.
MOTO Payments: We accept Mail Order / Telephone Order (MOTO) payments for rental bookings. By providing card details remotely, the customer confirms that they are the authorized cardholder or have authority to use the card. We may request additional identity or business verification before processing a MOTO transaction. Vora Holding LLC reserves the right to refuse, delay, or cancel any order where payment verification is incomplete or where a transaction appears unauthorized, suspicious, or high-risk. Equipment will only be released once payment has been received and approved.
7. MOTO payment authorization
Where payment is made by MOTO transaction, the customer authorizes Vora Holding LLC to process the card payment based on the details provided remotely by telephone, message, email, invoice link, or other approved non-face-to-face communication method. By providing card details for a MOTO payment, the customer confirms that they are the authorized cardholder or have full authority from the cardholder to use the card for the transaction.
8. Verification for MOTO transactions
To reduce fraud and protect both parties, Vora Holding LLC may require additional verification before accepting or processing a MOTO payment. This may include confirmation of the customer’s full name, business name, billing address, delivery address, contact information, identification documents, proof of cardholder authorization, or other supporting records. Orders may be delayed, suspended, or cancelled if verification is incomplete or unsatisfactory.
9. Right to refuse or cancel suspicious payments
Vora Holding LLC reserves the right to refuse, cancel, or refund any order where a MOTO payment or bank transfer appears suspicious, unauthorized, disputed, inconsistent, high-risk, or potentially fraudulent. This right applies even if an initial payment authorization has been obtained.
10. No dispatch before payment clearance
Equipment will not be released, dispatched, installed, or made available for collection until payment has been received in cleared funds and, where applicable, all required verification checks have been completed to the satisfaction of Vora Holding LLC.
11. Chargebacks and payment disputes
If a MOTO payment is disputed, reversed, charged back, or reported as unauthorized, Vora Holding LLC reserves the right to suspend the rental, recover the equipment, cancel any ongoing services, and pursue recovery of all outstanding sums, collection costs, administrative costs, and any associated losses to the extent permitted by law.
12. Customer responsibility for accurate payment details
The customer is responsible for ensuring that all payment and billing information provided is complete and accurate. Vora Holding LLC is not liable for delays, failed processing, or cancelled orders resulting from incorrect payment details or incomplete authorization.
13. Security and recordkeeping
For compliance, fraud prevention, operational, and dispute-resolution purposes, Vora Holding LLC may maintain records of rental orders, payment confirmations, MOTO payment authorizations, communications, invoices, and verification documents in accordance with applicable data protection and privacy laws.
14. Equipment use and care
The customer is responsible for ensuring that the equipment is used safely, correctly, and only by appropriately trained personnel. The equipment must be kept in good condition and used strictly in accordance with provided instructions and professional standards.
15. Damage, loss, or misuse
The customer is responsible for any loss, theft, damage, misuse, neglect, unauthorized repair, or improper handling of the equipment during the rental period. Vora Holding LLC reserves the right to charge for repair, replacement, recovery, cleaning, or related losses where applicable.
16. Maintenance and technical issues
The customer must promptly notify Vora Holding LLC of any malfunction, defect, or technical issue. The customer must not attempt to repair, modify, dismantle, or service the equipment without prior written approval.
17. Delivery, collection, and access
The customer must ensure that the delivery and installation location is suitable, accessible, and ready for the equipment. Additional charges may apply where delivery, setup, collection, or recovery is delayed due to customer-related issues.
18. Late payment or non-payment
If any payment is overdue, Vora Holding LLC may suspend services, refuse renewal, charge applicable late fees, or recover the equipment. Continued possession of the equipment after payment default does not waive Vora Holding LLC’s rights.
19. Return of equipment
At the end of the rental term, the equipment must be returned in good condition, subject to fair wear and tear, together with any accessories, attachments, manuals, and supplied components. Charges may apply for missing items, damage, excessive wear, or delayed return.
20. Limitation of liability
To the fullest extent permitted by law, Vora Holding LLC shall not be liable for indirect or consequential loss, loss of business, loss of revenue, treatment interruption, client claims, or any commercial losses arising from the use, delay, or unavailability of rented equipment.
21. Right to amend
Vora Holding LLC reserves the right to update or amend its rental terms and conditions at any time. The version in effect at the time of booking or contract confirmation will apply to the rental unless otherwise stated.
